Service Agreement — Training Program (PPFL) (Live Online)

By this private instrument of service agreement, the CONTRACTING PARTY, through acceptance given via the internet, agrees with the CONTRACTOR on the offering and engagement of the provision of services of the practical lean training program, in exchange for financial consideration and other covenants, as follows:

1. Purpose

The purpose of this agreement is the contracting of training, coaching and practical project development services, as described in the summary table.

2. Price and commercial terms

The contracted amount is the one indicated in the summary table. For transparency, the price table and commercial terms in effect for this edition are set out in Annex I.

Paragraph: Upon receipt of the agreed amounts, the CONTRACTOR shall issue the respective service invoices (NF-e), granting full discharge thereof.

Paragraph: After confirmation of payment, the CONTRACTOR will confirm the participation of the CONTRACTING PARTY by means of a notice via e-mail.

3. Attendance and certification

Classes: live classes on the day/time indicated in the summary table. Classes will not be made up under any circumstances, except in cases of impediment arising from a health condition proven by means of a medical certificate.

Assessment and certification: the participant will have individual meetings with instructors for guidance on the course completion project, covering a real case study and relevant results.

Certification criteria:

1. Attendance of 75% of the activities.
2. Knowledge assessment.
3. Development of a real project.
4. Presentation and approval of the project by the evaluation panel.

4. Cancellation and substitution

The CONTRACTING PARTY may cancel the purchase of the program up to 10 business days before the start of the program. Substitutions may be made only up to 2 business days before the start of the first activity.

5. LGPD

The parties undertake, during and after the term of this agreement, to fully comply with the provisions of the Brazilian General Data Protection Law (Lei n. 13.709/2018), making no improper disclosures without authorization, only the disclosures provided for in this instrument being authorized.

6. Penalties

Late payment shall incur a penalty of 2% (two percent) on the overdue amount, plus the respective monetary adjustment and interest of 1% (one percent) per month, where applicable.

Paragraph: All collection costs shall include expenses, notary/court costs and 20% attorneys' fees.

7. Image rights

The CONTRACTING PARTY authorizes the CONTRACTOR to use, free of charge, its image for the purpose of promoting courses and other activities, and may disseminate it through the available means of communication, whether on the Internet, in newspapers, magazines, or any other medium, both public and private, solely and exclusively for the purpose of promoting its activities.

8. Jurisdiction

The courts of the Judicial District of São Paulo are hereby elected to settle any questions of fact and of law that may arise in the course of the contractual relationship, waiving any other, however privileged it may be.

Annex I — Price table and commercial conditions (transparency)

For transparency purposes, the table below shows the public commercial conditions registered for this edition. The amount contracted by the Participant is the one indicated in the Summary Table and/or at checkout, according to the condition applicable on the purchase date.
